    أخلاقيات الأعمال و اثرها على حوكمة المنظمات

    الملخص (بالعربية) تصب هذه الدراسة في منظور حوكمة الشركات القائم على فكرة تعدد مناهج التحليل في الحوكمة؛ التي من بينها الاعتماد على الجوانب الأخلاقية في تفسير مبادئها، الأمر الذي يسهم في فهمها بشكل أفضل كما يعطي نهجا ونفسا جديدا في محاولة لتعزيز ممارساتها وأنظمتها. فالمفارقة أنه وبالرغم من الجهود المبذولة في تطوير نظم الحوكمة، فإن فضائح الشركات بقيت مستمرة، وأوصت الآراء المختلفة بقوة بأخلاقيات الأعمال كحل لهذه المفارقة في حوكمة الشركات. بدافع مما سبق، تبحث هذه الأطروحة في إمكانية تعزيز ممارسات حوكمة الشركات بالاعتماد على مبادئ أخلاقيات الأعمال تقوم الدراسة بتطوير نموذج هيكلي لتحليل العلاقة بين أخلاقيات الأعمال وحوكمة الشركات باستخدام النمذجة بالمعادلات الهيكلية (البنائية)، للإجابة عن السؤال: هل يدعم التوجه الأخلاقي للمؤسسة الجزائرية أسلوب الحوكمة فيها؟. تجد الدراسة أن أخلاقيات الأعمال تؤدي إلى مستويات أفضل من حوكمة الشركات وتدعم أسلوب الحوكمة فيها، والسبب عائد أساسا إلى التزام ضمني غير طوعي كامتثال للقوانين باعتباره الحد الأدنى الرسمي المطلوب والمحكوم بقوة الردع الرسمية، كما أن أهم أبعاد حوكمة الشركات تأثرا بأخلاقيات الأعمال هو حماية حقوق أصحاب المصلحة. الکلمات المفتاحية: أخلاقیات الأعمال، حوكمة الشرکات، النمذجة بالمعادلات الهيكلية، المؤسسات الجزائرية Résumé (Français et/ou Anglais) : This study is a part of the corporate governance pluralism approach based on the idea of multiple perspectives in corporate governance analysis, including the reliance on ethical aspects in corporate governance, which helps to understand it in a better way and gives it a new spirit; in an effort to strengthen its practices and systems. Paradoxically, in spite of efforts to develop governance systems, corporate scandals are still persisting; where different opinions have strongly recommended business ethics as a solution to this paradox. As a result of this, this thesis examines the possibility of strengthening corporate governance practices by using the principles of business ethics. The study develops a structural model demonstrating the relationship in between business ethics and corporate governance using structural equations modeling, to answer the question: do business ethics support Algerian corporate governance practices? The study finds out that business ethics leads to better levels of corporate governance and supports its practices, the reason is mainly due to an implicit involuntary commitment to laws as a minimum required level of compliance, and that the most important dimensions of corporate governance affected by business ethics is the protection of stakeholders rights.
