Abstract (en Anglais) : In order to guarantee the rights of third parties dealing with commercial companies, the Algerian legislator deliberately regulated the provisions applicable to financial companies in all stages of their life. As for the guarantees provided for third parties when establishing capital companies, they appear through a set of procedures, including: underwriting, the obligation to observe a minimum capital limit, the obligation to fulfill the in-kind contributions in full upon incorporation and the necessity of estimating their value, the obligation to fulfill a percentage of the cash advances at the notary or a financial institution guarantees its existence while incorporation. So that the third parties do not protest the nature of the company and the size of its capital, the Algerian legislator obligated the necessity of identifying the type of the company and the minimum capital within the company’s address and all its documents, and registering them in the commercial register so that the third party is aware of the company's and the partners' responsibility limits and the guarantees allocated to him. Even further, the Algerian legislator set civil liability and criminal liability for the mistakes of the founders according to their omission of a fundamental procedure in establishing the company or by inflating the size of the announced capital, which may make the company threatened with invalidity. As for the guarantees established for third parties during the life of the capital companies, they appear by guaranteeing the stability of the capital so it won't decrease below the limits set by law or according to the basic law of the company. By requiring allocating a legal or contractual financial reserve that covers the company's depreciations and the dangers that it may encounter in the future. But more, it goes further, as the Algerian legislator intervened by regulating the procedures that concern the adjustment of capital (increase, decrease, or consumption), which vary according to the form taken by the company. This is in addition to the establishment of internal control systems (partners, control council) or external (representatives of accounts) entrusted with the task of auditing the accounts of the company. But further, the Algerian legislator arrange civil liability and penal responsibility for everyone trying to reduce the element of guarantee established for third parties ( capital) regardless of his character (partner, manager, account representative, or third party).
