    أثر القيد على نظام الشهر العيني دراسة مقارنة مع نظام الشهر الشخصي

    الملخص (بالعربية) من أهم الأهداف التي ترمي إليها غالبية التشريعات ، هي تأمين إستقرار المعاملات العقارية وتشجيع الإئتمان العقاري ولا يكون ذلك إلا بتجسيد نظام عقاري يسمح لكل ذي مصلحة العلم بوجود الحق العيني وما يثقل العقار من أعباء ، فلا يُقبل على التعامل فيه إلا و هو مطلع على حالة العقار و قد ظهر في البداية نظام الشهر الشخصي ، الذي يعتمد على الأشخاص كأساس للقيد ، لكن لكثرة عيوبه وقصوره على تحقيق إستقرار الملكية العقارية ، ظهر نظام آخر يعتمد على العقار كأساس للقيد وهو نظام الشهر العيني ، هذا النظام الذي لقي رواجا كبيرا جعل أغلب دول العالم تتبناه من بينها الجزائر لعدة أسباب من بينها المبادئ التي يرتكز عليها من أهمها مبدأ القوة الثبوتية ومبدأ حظر التقادم المكسب إضافة إلى إعتماده على عملية تقنية تعتبر القوام الطبيعي له وهي عملية مسح الأراضي والتي تسمح بنقل و تصور الوضعية المادية والتقنية للعقارات، لكن قد يحدث أن يتغيب أصحاب الحقوق العينية عن أعمال المسح فيتضررون بذلك من إجراءات الانتقال من نظام الشهر الشخصي إلى نظام الشهر العيني بقيد حقوقهم باسم الغير عند القيد الأول كما قد يترتب عن أشغال المسح أخطاء و منازعات تمس بحق الملكية للأشخاص ، لذلك يعترف القانون للمتضررين بحق الطعن في عملية القيد أمام الإدارة المختصة بالمسح أو أمام القضاء المختص بإتباع إجراءات تشتَّت تارة بين أحكام مختلف القوانين والأوامر والمذكرات و تارة أخرى تميزت بالغموض الكلمات المفتاحية: المسح العام للأراضي – السجل العقاري –المحافظ العقاري –الدفتر العقاري – تطهير الملكية العقارية Résumé (en Français) : Le plus important objectives de la majorité des législateurs est d’assurer la stabilité des transactions immobilières , et d’encourager le crédit immobilier , ceci ne peut être réalisé que par un système immobilier qui permet à toutes les parties intéressées de connaitre l’existence de droit réel , et ce qui farde l’immobilier comme l’hypothèque , Il n’accepté pas d’en traiter uniquement et connaît bien l’état de l’immobilier. Au début , le système de publicité personnel est apparu qui dépend sur les personnes comme base d’inscription , mais a cause de leur inconvénients et son incapacité a atteindre la stabilité des biens immobiliers , il et apparu un autre système de publicité qui dépend l’immeuble comme base de publicité , ci celle de système de publicité réel , ce système très populaire a été adopté par la plupart des pays du monde. Les travaux de cadastre sont également requis des erreurs et des contentieux qui touchent les droit des propriétaires , pour cela la loi reconnaît le droit de contester le processus d'enregistrement devant le service compétent de l'enquête ou devant le tribunal compétent pour suivre les procédures de dispersion entre les dispositions des différentes lois et ordonnances et notes et autres moments marqués par l'incertitude. Mots clés: Le cadastre général des terrains – le registre foncier - Le conservateur foncier – livret foncier –purgement de propriété immobilière Abstract (en Anglais) : Summary : The most important objective of the majority of legislators is to Secure the stability of real estate transactions, and to encourage real estate credit, this can only be achieved by a real estate system that allows all interested parties to know the existence of real right, and what makes real estate like the mortgage, He does not agree to treat only and knows the state of the real estate. At first, the personal advertising system appeared that depends on people as a basis for registration, but because of their disadvantages and its inability to achieve stability of real estate, it and appeared another advertising system that depends on the building as a base of advertising, and that of real advertising system, this very popular system has been adopted by most countries of the world. The cadastral work is also required of the errors and litigation that affect the right of the owners, for this the law recognizes the right to dispute the process of registration before the competent service of the investigation or the competent court to follow the procedures of dispersion between the provisions of different laws and ordinances and notes and other moments marked by uncertainty.     دور مبادئ حوكمة الشركات في حماية المساهمين

    الملخص (بالعربية) ملخص: تعدّ مبادئ حوكمة الشّركات إحدى الوسائل التّي تمّ اعتمادها لحماية حقوق المساهمين في الشّركة، خاصّة بعد قضايا الفساد والإفلاس والتّغيّرات الاقتصادية التّي مسّت هيكلتها، لذلك فإنّه يعتبر تطبيق هذه المبادئ من قبل مجلس الإدارة وأصحاب المصالح الآخرين، بالغ الأهمية من حيث توفير الفعالية في الأداء والقضاء على كافّة التّجاوزات التّي تحدث داخل الشّركة، هذا بالإضافة إلى تقديم ضمانات أخرى عديدة للمساهمين، منها ما هو مرتبط بالحقوق المالية ومنها ما هو مرتبط بالحقوق ذات الصّبغة الرّقابية، ويكون كلّ ذلك ضمن آليات قانونية داخلية وخارجية، يتم من خلالها تفعيل هذه المبادئ بغية حماية حقوق هذه الفئة كلمات مفتاحية: مبادئ حوكمة الشّركات، المساهمين، مجلس الإدارة، التّعسّف في استعمال الحقّ Résumé (en Français) : Les principes de gouvernement d'entreprise sont l'un des moyens qui ont été adoptés pour protéger les droits des actionnaires de l'entreprise, Surtout après les affaires de corruption et de faillite et les changements économiques qui ont affecté sa structure, Par conséquent, l'application de ces principes par le Conseil d'Administration et les autres parties prenantes est extrêmement importante pour assurer l'efficacité des performances et éliminer toutes les violations qui se produisent au sein de l'entreprise, De plus, ces principes offrent plusieurs autres garanties aux actionnaires, Certains d'entre eux sont liés aux droits financiers, et certains sont liés à des droits qui ont un caractère de surveillance, Et tout cela se déroule dans le cadre de mécanismes juridiques internes et externes à travers lesquels les principes de gouvernance sont activés pour protéger les droits de ce groupe. Abstract (en Anglais) : Abstract The principles of corporate governance are one of the means that have been adopted to protect the rights of shareholders of the company, especially after the issues of corruption, bankruptcy and economic changes that affected its structure, Therefore, the application of these principles by the board of directors and other stakeholders is critical in terms of providing effectiveness in performance and eliminating all violations that occur within the company, In addition, these principles provide many other guarantees for shareholders, a bunch of it are related to financial rights and others are related to rights of controlling nature, and all of this takes place within the framework of internal and external legal mechanisms through which the principles of governance are activated in protecting the rights of this group.
